2. Eligibility and Account
2.1 Eligibility. You must be at least 18 years old and able to enter into a binding contract. The Service is intended for business and professional use.
2.2 Registration. You must provide accurate, current and complete information when registering and keep it up to date, including a valid email address and, before making any payment, a complete Billing Profile (legal name, billing address and invoice email).
2.3 Account security. You are responsible for all activity under your Account and API Keys, whether or not authorised by you. You must keep passwords and API Keys confidential, use scoped keys and spend limits where appropriate, and notify us immediately at contact@runmux.com if you suspect unauthorised use. We are not liable for loss arising from unauthorised use of your Account or API Keys before we receive such notice.
2.4 Organisation accounts. If your Account has multiple members, the organisation owner is responsible for all members' actions and for all Fees incurred.
3. The Service
3.1 Description. RunMux is a managed API gateway. It provides one OpenAI-compatible endpoint through which you can send requests to Models operated by Model Providers, together with key management, spend limits, route-health monitoring, usage reporting and billing. RunMux does not develop, train or host the Models.
3.2 Model Providers. Each Model is provided by its Model Provider under that provider's own terms, usage policies and data practices. By using a Model you agree to comply with the applicable Model Provider's terms, which we may link from the model catalog. We may add, remove, replace or change Models and routes at any time, including when a Model Provider changes or discontinues a Model.
3.3 Routing. Where you enable more than one route for a Model, the gateway may select among them and may step around a route reporting degraded health. You remain responsible for selecting Models and routes suitable for your use case, including any data-residency requirements.
3.4 Playground. The Playground is a preview tool that generates mock responses and cost estimates; it does not send requests to Model Providers and is not a representation of actual Model output or cost.
3.5 Changes. We may modify, suspend or discontinue any part of the Service. We will use reasonable efforts to notify you in advance of material changes that adversely affect you.
4. Delivery Policy
4.1 No physical goods. The Service consists exclusively of digital services. Nothing is shipped, and no shipping or handling charges apply.
4.2 Electronic delivery. API access, Prepaid Balance, Credit Line and Rebate Credit are delivered electronically to your Account.
4.3 Timing. - Account and API Keys are available immediately upon registration and verification of your email address. - Prepaid Balance is credited to your Account automatically once our payment service provider confirms that your payment has succeeded. Card, Alipay and Apple Pay payments are normally confirmed within minutes. Bank transfers are credited within two (2) business days of receipt of cleared funds and verification by us. - Invoice payments are applied to your Account on the same basis. - Rebate Credit is delivered on the dates set out in Section 6.6.
4.4 Confirmation. You will receive an email confirmation and receipt at your registered email address for each successful payment, and the transaction will appear in your Billing Center.
4.5 Delivery problems. If a confirmed payment is not reflected in your Account within the periods above, contact contact@runmux.com with the payment reference. We will investigate and, where the payment is verified, credit your Account.
5. Prices
5.1 Published rates. Usage is charged at the rate published for each Model in the RunMux model catalog at the time the request is processed. Published rates are based on each Model Provider's official API pricing and carry an "as-of" date. Model Providers change their prices frequently; we may update published rates at any time, and the updated rate applies to Usage after the update.
5.2 Currency. All prices and Fees are in United States dollars (USD).
5.3 Negotiated discounts. RunMux may agree individual discounts with you for specific Models. Discounts are applied automatically when Usage is recorded and are reflected in the amounts shown in your Billing Center and usage exports. Discounts are commercial arrangements that RunMux may vary on thirty (30) days' written notice.
5.4 Rounding. Usage is calculated to six decimal places and rounded to two decimal places when aggregated for billing.
6. Billing and Payment
6.1 Billing models. You may use the Service on a prepaid basis, on a post-paid basis under a Credit Line, or both.
6.2 Prepaid Balance. - You may top up your Prepaid Balance through the payment methods offered in the Billing Center. The minimum top-up is USD 10. Maximum single-transaction amounts may apply. - Usage is deducted from your Prepaid Balance in real time at the applicable rate. - Prepaid Balance has no expiry date, is non-transferable, cannot be withdrawn and is refundable only as set out in Section 8. - You may enable automatic top-up, under which RunMux charges a saved payment method for an amount you specify whenever your Prepaid Balance falls below a threshold you specify.
6.3 Credit Line. - RunMux may, at its sole discretion, extend a Credit Line to you. We may set, reduce, suspend or withdraw a Credit Line at any time, and we will notify you of changes by email. - Usage is charged first against your Prepaid Balance and, once that is exhausted, against your Credit Line. - On the first day of each month, RunMux issues an invoice for all Usage charged to your Credit Line during the preceding Billing Period. RunMux may also issue an interim invoice at any time for Usage charged to your Credit Line to date, including automatically when a top-up is received while Credit Line Usage is outstanding. - Invoices are issued electronically and are deemed received when sent to your invoice email address.
6.4 Payment terms. - Invoices are due seven (7) days after the invoice date. - You may pay through the Billing Center, by saved payment method (including automatic payment where enabled) or by bank transfer to the account stated on the invoice. Bank charges are your responsibility; the amount received by RunMux must equal the invoice amount. - A top-up received while any invoice is unpaid is applied first to the oldest unpaid invoice, then to any outstanding Credit Line Usage, and any remainder is credited to your Prepaid Balance. - If you dispute any part of an invoice, you must notify us in writing within seven (7) days of the invoice date, stating the reason; otherwise the invoice is deemed accepted. Undisputed amounts remain payable.
6.5 Late payment. If an invoice is not paid in full by its due date, RunMux may (a) suspend your access to the Service seven (7) days after the due date without further notice beyond the reminders sent to your email; (b) withdraw or reduce your Credit Line; (c) apply any Prepaid Balance or Rebate Credit to the overdue amount; and (d) charge interest on the overdue amount at 1.5% per month (or the maximum rate permitted by law, if lower), calculated daily from the due date until payment in full. RunMux reserves the right to charge such interest and may also recover reasonable collection costs. Service is restored once all overdue amounts are received.
6.6 Rebates. RunMux may, at its discretion, agree a rebate with you on specific Models. - Invoice rebates. When an invoice is paid in full, RunMux grants Rebate Credit equal to the agreed percentage of the amount actually paid for each eligible Model. Rebate Credit is recorded per Model, is applied automatically against charges for the same Model on your next invoice, and any unused amount carries forward. - Prepaid rebates. At the end of each Billing Period, RunMux calculates the rebate on your Prepaid Balance Usage of eligible Models during that period and credits the amount to your Prepaid Balance as bonus balance. - Rebate Credit and bonus balance are not cash, have no monetary value outside the Service, are non-transferable, non-refundable and non-withdrawable, and are forfeited on closure of your Account. Rebate percentages are commercial arrangements that RunMux may vary on thirty (30) days' written notice.
6.7 Suspension for exhausted funds. If your Prepaid Balance and available Credit Line are both exhausted, the Service will reject further requests (allowing a tolerance of approximately USD 1 for requests already in progress). RunMux will send balance and credit alerts before this occurs, but you are responsible for maintaining sufficient funds. Access resumes automatically once funds are added or an invoice is paid.
6.8 Records. RunMux's records of Usage are conclusive evidence of the Fees payable, absent manifest error. You may review and export your Usage from the Billing Center at any time.
6.9 Payment methods and third-party processors. Payments are processed by third-party payment service providers. RunMux does not store full card numbers. By saving a payment method you authorise RunMux and its payment service providers to charge it for amounts you have authorised, including automatic top-ups and automatic invoice payments where enabled. Chargebacks initiated without first contacting us may result in immediate suspension of your Account.
6.10 Adjustments and credit notes. Issued invoices are not altered. Corrections are made by credit note or adjustment entry, each of which will be shown in your Billing Center.
7. Taxes
7.1 Fees are exclusive of all taxes. RunMux is incorporated in Hong Kong, and no VAT, GST or sales tax is applicable under Hong Kong taxation rules. Invoices are issued without tax.
7.2 You are solely responsible for determining and paying any taxes, duties, levies or withholdings imposed by the laws of your own jurisdiction in connection with your purchase of the Service, including any reverse-charge VAT, GST, digital-services or withholding tax. If you are required by law to withhold any amount from a payment to RunMux, you must gross up the payment so that RunMux receives the full invoiced amount.
8. Refund and Cancellation Policy
8.1 Prepaid Balance. A top-up is refundable only if no Usage of any kind has been recorded on your Account during the thirty (30) days following the date the top-up was credited. To request a refund, email contact@runmux.com from your registered email address within that period. Eligible refunds are made to the original payment method, less any fees charged by the payment service provider, within fourteen (14) days of approval. Once any Usage has been recorded, the Prepaid Balance is non-refundable and remains available in your Account without expiry.
8.2 Invoices. Fees paid against an invoice are for services already rendered and are non-refundable.
8.3 Rebate Credit and bonus balance are non-refundable in all circumstances.
8.4 Automatic top-ups may be disabled at any time in the Billing Center; a top-up already processed is subject to Section 8.1.
8.5 Cancellation. You may close your Account at any time from the dashboard or by emailing contact@runmux.com. Closure does not relieve you of the obligation to pay Fees incurred before closure, and any remaining Prepaid Balance, Rebate Credit or bonus balance is forfeited unless refundable under Section 8.1.
8.6 Service errors. If Fees were charged as a result of a verified error in the Service (for example a request that failed because of a RunMux fault but was charged), RunMux will credit the affected amount to your Account. Failures attributable to a Model Provider, to your Inputs, or to content filtering are charged according to the Model Provider's billing rules.
9. Your Content; Intellectual Property
9.1 Your Inputs and Outputs. As between you and RunMux, you own your Inputs and, to the extent permitted by applicable law and the applicable Model Provider's terms, the Outputs. You grant RunMux a non-exclusive, worldwide, royalty-free licence to process, transmit, store and display Inputs and Outputs solely to provide, secure and support the Service and to comply with law.
9.2 No training. RunMux does not use your Inputs or Outputs to train or improve any AI model. Model Providers' practices vary and are governed by their own terms; see our Privacy Policy.
9.3 Responsibility for content. You are solely responsible for your Inputs, for the use you make of Outputs, and for ensuring that you have all rights, consents and permissions necessary to submit Inputs (including, where Inputs contain the likeness, voice or personal data of any person, that person's consent).
9.4 Nature of Outputs. Outputs are generated by machine-learning models and may be inaccurate, incomplete, offensive or similar to outputs provided to other users. You must evaluate Outputs for accuracy and appropriateness before relying on them, and you must not represent Outputs as human-generated where that would be misleading.
9.5 RunMux property. The Service, including its software, documentation, design, trademarks and model catalog, is owned by RunMux or its licensors and protected by intellectual-property laws. You receive only the limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, resell or sublicense the Service except as expressly permitted.
9.6 Feedback. If you provide suggestions or feedback, RunMux may use them without obligation to you.
10. Acceptable Use Policy
You must not, and must not permit any third party to, use the Service to:
10.1 Illegal and harmful activity - violate any applicable law or regulation, including export-control and sanctions laws; - generate, upload or distribute child sexual abuse material or any content that sexualises minors; - promote, facilitate or incite violence, terrorism, self-harm or hatred against individuals or groups; - develop, produce or deploy weapons, including chemical, biological, radiological or nuclear weapons; - engage in or facilitate fraud, scams, phishing, spam or the creation of malware.
10.2 Rights and privacy - infringe the intellectual-property, privacy, publicity or other rights of any person; - generate or edit images, video or audio depicting the face, body or voice of a real person without that person's explicit consent, or create non-consensual intimate imagery; - create deceptive content intended to mislead others about its origin, including impersonating real persons or organisations or producing disinformation; - process personal data of others in violation of applicable data-protection laws.
10.3 Prohibited data - submit protected health information, payment-card data, government identification numbers or other regulated sensitive data unless you are legally entitled to do so and the Model Provider's terms permit it; - submit data of children under 13 (or the applicable age of digital consent).
10.4 Platform integrity - interfere with, disrupt or overload the Service or attempt to gain unauthorised access to any system, account or data; - circumvent rate limits, spend limits, content filters or other safety or security measures; - share, sell or transfer API Keys, or use the Service to provide a competing gateway without our written consent; - use Outputs to develop models that compete with the Models accessed, where prohibited by the Model Provider's terms; - scrape, harvest or extract data from the Service other than through the API and exports provided.
10.5 Model Provider policies. You must also comply with each Model Provider's usage policies. Model Providers may refuse, filter or terminate access for violations, and RunMux is not responsible for such actions.
10.6 Enforcement. RunMux may investigate suspected violations, remove content, throttle or suspend Accounts or API Keys, and report illegal activity to authorities. We may retain evidence of violations as described in our Privacy Policy.
11. Confidentiality
Each party will keep confidential any non-public information disclosed by the other party in connection with the Service, including pricing, discounts and rebate terms agreed individually with you, and will use it only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
12. Suspension and Termination
12.1 By you. You may stop using the Service and close your Account at any time (Section 8.5).
12.2 By RunMux. We may suspend or terminate your Account or any API Key, with notice where practicable, if (a) you breach these Terms, including the AUP; (b) any invoice is more than seven (7) days overdue; (c) your Prepaid Balance and Credit Line are exhausted; (d) we are required to do so by law or by a Model Provider; (e) your use poses a security or legal risk to RunMux, Model Providers or other users; or (f) your Account has been inactive for twelve (12) months with a zero balance.
12.3 Effect. On termination, your right to use the Service ends, all outstanding Fees become immediately due, and we may delete your Account data after the retention periods in our Privacy Policy. Sections 6, 7, 8, 9, 11, 13, 14, 15 and 17 survive termination.
13. Disclaimers
THE SERVICE AND ALL MODELS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNMUX AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. RUNMUX DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR THE AVAILABILITY, PERFORMANCE, PRICING CHANGES, CONTENT FILTERING OR DATA PRACTICES OF ANY MODEL PROVIDER, OR FOR THE ACCURACY, LEGALITY OR SUITABILITY OF ANY OUTPUT. ROUTE-HEALTH AND LATENCY INFORMATION IS PROVIDED FOR GUIDANCE ONLY.
14. Limitation of Liability
14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNMUX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, HOWEVER CAUSED.
14.2 RUNMUX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO RUNMUX IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
15. Indemnification
You will defend, indemnify and hold harmless RunMux, its affiliates, officers, directors, employees and agents from and against all claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to (a) your Inputs or your use of Outputs; (b) your breach of these Terms, the AUP or any Model Provider's terms; (c) your violation of any law or of the rights of any third party; or (d) any claim by your end users or customers.
16. General
16.1 Changes to these Terms. We may update these Terms from time to time. For material changes we will give at least fourteen (14) days' notice by email or dashboard notice. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service before the effective date.
16.2 Notices. Notices to you will be sent to your registered email address. Notices to RunMux must be sent to contact@runmux.com or to our registered address.
16.3 Assignment. You may not assign or transfer these Terms without our prior written consent. RunMux may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.
16.4 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including Model Provider outages, internet failures, acts of government, or natural disasters; this does not excuse payment obligations.
16.5 Export control and sanctions. You represent that you are not located in, and will not use the Service from or for the benefit of, any jurisdiction or person subject to comprehensive sanctions, and that you will comply with all applicable export-control laws.
16.6 Entire agreement. These Terms, the Privacy Policy, the Cookie Policy and any written order, discount, rebate or Credit Line arrangement agreed with you constitute the entire agreement between you and RunMux regarding the Service and supersede all prior agreements. In case of conflict, a signed written agreement prevails over these Terms.
16.7 Severability; waiver. If any provision is held unenforceable, the remainder remains in effect. Failure to enforce any provision is not a waiver.
16.8 Relationship. The parties are independent contractors. No agency, partnership or joint venture is created.
16.9 Third-party rights. Except as expressly stated, no person other than the parties has any right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any term of these Terms.
16.10 Language. These Terms are drafted in English. Any translation is for convenience only; the English version prevails.
17. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims) are governed by the laws of the Hong Kong Special Administrative Region. The parties irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong.
